NYAMM Founding Creator Agreement

Your deal (summary)

  • 10% creator attribution on qualifying food sales from your attributed customers for the first six (6) months after the Effective Date (Founding Period).
  • 5% continuing attribution on valid continuing attribution customers after the Founding Period.
  • Non-exclusive. You may work with other platforms and clients.
  • You retain ownership of your original content, subject to the NYAMM license below.
  • No fixed posting quota. Genuine participation during the Founding Period supports Founding Creator rate eligibility.
  • Earnings depend on qualifying economic activity through NYAMM, not views or followers alone.
  • Kitchens set an extra order limit. You earn when customers actually buy, not when a kitchen is sold out (Extra orders).

Parties

This Founding Creator Agreement ("Agreement") is between NYAMM, a food discovery and commerce platform operated by Perpetual Holdings LLC ("NYAMM"), and the creator identified in the signature block ("Creator").

Purpose

NYAMM and Creator establish Creator as a founding member of the NYAMM Founding Creator Network and define their commercial relationship. Creator may earn from qualifying economic activity attributable to Creator's contribution to NYAMM rather than from content metrics alone.

Founding Creator status and rates

Subject to this Agreement, Creator receives a 10% Creator Attribution Rate on Qualifying Food Sales from valid Attributed Customers during the Founding Period, then 5% on valid Continuing Attribution, as defined in the incorporated Terms.

Qualifying activity

Creator earns only on Qualifying Food Sales to customers validly attributed to Creator through NYAMM's attribution mechanisms. Delivery fees, tips, taxes, and other excluded amounts do not count. Kitchens cap how many extra orders they take; you are not paid on orders they could not fulfill. See Economics, Attribution, and Extra orders in the Terms.

Content ownership and NYAMM license

Creator retains ownership of original Creator Content. Creator grants NYAMM a non-exclusive, worldwide, royalty-free license to use NYAMM-related Creator Content to operate, promote, and improve NYAMM, as set out in the Terms (Content rights).

Non-exclusivity and participation

The relationship is non-exclusive. Creator will make reasonable and genuine efforts to participate during the Founding Period. NYAMM does not require a fixed minimum number of posts or views. Material inactivity may affect Founding rate eligibility as described in the Terms.

No guaranteed earnings

NYAMM does not guarantee minimum customers, orders, sales, or earnings. Illustrative figures are examples only.

Fraud, payments, and adjustments

Creator must not manipulate attribution or generate fraudulent transactions. NYAMM may delay, withhold, or reverse earnings tied to invalid activity. Payment principles are in the Terms (Payments).

Termination

Either Party may terminate as described in the Terms (Termination). Voluntary termination does not automatically end valid Continuing Attribution unless Creator expressly surrenders those rights in writing.

Independent contractor

Creator is an independent contractor, not an employee or agent of NYAMM.

Incorporated terms

The [NYAMM Founding Creator Terms v1.0](https://nyamm.food/creator/founding-terms/1.0) (effective October 6, 2026) are incorporated into and form part of this Agreement. In case of conflict between this Agreement and the Terms on a commercial rate expressly stated here, this Agreement controls for that rate; otherwise the Terms govern.

Governing law

This Agreement is governed by the laws of Jamaica.

Electronic acceptance

The Parties may execute this Agreement electronically. Electronic signatures and records are intended to evidence acceptance, subject to applicable law.
