Your deal (summary)

30-day pilot from the Effective Date; extension only in writing.

Parties and purpose

This Agreement is between NYAMM (Perpetual Holdings LLC) and the Kitchen in the signature block. The Parties will evaluate whether NYAMM can deliver extra orders and measurable value without disrupting the Kitchen's existing operations.

Pilot term

The pilot runs 30 consecutive calendar days from the Effective Date unless you end it earlier or extend in writing. Launch date and contacts go in Schedule A.

Commission (summary)

NYAMM takes 10% of the food subtotal on extra orders you accept and get paid for on NYAMM checkout, plus 5% of the delivery fee when that order uses NYAMM Fleet delivery (Section 4.9). Pickup and dine-in extra orders stay 10% on food only. Payout targets the next Jamaican business day after end-of-day reconcile to bank, Lynk, or WiPay, whichever you chose in NYAMM Kitchen. Refunds and chargebacks follow the Terms (Sections 11 and 12).

Extra orders and your limit (summary)

Extra orders = customers NYAMM or creators sent you, not your usual own-channel crowd.

Kitchen controls volume in NYAMM Kitchen through the extra order limit: available items, hours, caps per service period, and pauses when at capacity. NYAMM will not route orders beyond what Kitchen declared available. Kitchen is not required to accept every possible order. Commission applies to completed, paid orders Kitchen accepts, not to views or checkout attempts blocked by capacity.

Responsibilities (summary)

Each Party performs its obligations in Sections 6 and 7 of the Terms (NYAMM, Kitchen). Kitchen maintains food safety, accurate menu data, and a current extra order limit. NYAMM operates listing, discovery, and payments within Kitchen's declared availability.

Termination (summary)

The pilot ends after 30 days or on seven days' written notice. Immediate termination may apply for fraud, material breach, or food-safety concerns (Termination).

Independent businesses

The Parties are separate businesses. Nothing here creates employment, agency, or partnership.

Incorporated terms

The [NYAMM Founding Kitchen Pilot Terms v1.0](https://nyamm.food/kitchen/founding-pilot-terms/1.0) (effective October 8, 2026) are incorporated into and form part of this Agreement. This Agreement is governed by the laws of Jamaica. The Parties may execute this Agreement electronically, subject to applicable law.
