Terms of Service

1. Acceptance of Terms

By accessing or using Yaadex (the "Service"), you agree to these Terms of Service ("Terms"). The Yaadex platform (the "Service") is operated by Perpetual Holdings LLC ("we," "us," or "our"). Yaadex is the product and brand name for the Service; it is not a separate legal entity. If you disagree with any part of these Terms, you may not access the Service.

These Terms apply to all users of the Service, including dispatchers, their clients, and any other parties who access or use the Service.

2. Description of Service

Yaadex provides professional delivery management tools for independent dispatchers and delivery teams worldwide. Perpetual Holdings LLC provides the platform for dispatchers to manage deliveries, clients, and operations.

3. User Accounts

3.1 Account Registration

To use certain features of the Service, you must register for an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and update your information to keep it accurate
  • Maintain the security of your account credentials
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized use

3.2 Account Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts to use our Service.

4. Client Interactions

When using the Service to work with clients (the parties who request deliveries), you agree to:

  • Obtain accurate information about items, pickup and delivery addresses, and contact details from clients
  • Ensure items are properly received and handed off in accordance with client instructions
  • Use accurate delivery addresses and contact information provided by clients
  • Collect or process all applicable fees in a timely manner as agreed with clients
  • Comply with all applicable laws and regulations
  • Not use the Service for illegal or unauthorized purposes

5. Couriers

If you are a courier using our Service, you agree to:

  • Provide accurate information about your vehicle and qualifications
  • Maintain valid licenses and insurance as required by law
  • Handle all deliveries with care and professionalism
  • Deliver items to the correct address in a timely manner
  • Follow all traffic laws and safety regulations
  • Report any issues or incidents immediately

6. Fees and Payment

6.1 Service Fees

We charge fees for our delivery services. All fees are displayed before you confirm a delivery request. Fees may vary based on distance, delivery type, and other factors.

6.2 Payment Processing

Payments are processed through secure third-party payment processors. By using our Service, you agree to their terms and conditions.

6.3 Delivery Refunds

Refund policies for delivery transactions are determined on a case-by-case basis and are subject to the applicable agreement between courier and client. Contact us at hello@yaadex.com to request a refund for a delivery transaction.

7. Subscriptions and Billing

7.1 Platform fees

New courier operators pay a platform fee per completed delivery from a prepaid wallet, billed in Jamaican Dollars (JMD). The current fee is J$40 plus 4% of the delivery fee, charged when a delivery is marked delivered (or cancelled after pickup). Setup, rider invites, and checkout links are available without a monthly subscription. First completed jobs may be included at no charge as stated in the app. Legacy monthly Stripe subscriptions remain in force for accounts that already subscribed until those accounts change or cancel.

7.2 Wallet and cancellation

Prepaid wallet top-ups are credited after confirmation. Unused wallet balance is not automatically refunded. If a completed job cannot be billed, the fee stays outstanding and new deliveries stay paused until you top up.

For legacy monthly Stripe subscriptions, you may cancel at any time from within the app. When you cancel:

  • Your subscription remains active until the end of your current billing period
  • You retain full access to paid features until the period ends
  • After the billing period ends, billing switches to the prepaid wallet model
  • You may undo a cancellation at any time before the billing period ends

7.3 No refunds on billed fees

Platform fees charged on completed jobs and confirmed wallet top-ups are non-refundable, except where Jamaican law requires otherwise. Legacy Stripe subscription fees are also non-refundable because access continues through the paid period after cancellation.

7.4 Legacy subscription renewal

Legacy monthly subscriptions renew automatically at the end of each billing period. If payment fails:

  • Your subscription will be marked as past due
  • You will have a 7-day grace period to resolve the payment
  • If payment is not received within the grace period, billing switches to the prepaid wallet model

7.5 Plan changes

New operators do not select a monthly plan. Legacy Stripe subscribers may change plans from the app. Upgrades take effect immediately. Downgrades stay on the current plan until the billing period ends, then the new plan takes effect.

8. Prohibited Uses

You may not use our Service:

  • For any illegal purpose or to solicit others to perform illegal acts
  • To violate any international, federal, provincial, or state regulations, rules, or laws
  • To transmit or procure the sending of any advertising or promotional material without our consent
  • To impersonate or attempt to impersonate the company, employees, or other users
  • To engage in any automated use of the system
  • To interfere with or disrupt the Service or servers connected to the Service
  • To deliver prohibited items (e.g., illegal substances, weapons, hazardous materials)

9. Limitation of Liability

Yaadex is a delivery management platform for dispatchers. We are not responsible for:

  • The quality, safety, or legality of items being delivered
  • The accuracy of information provided by dispatchers or their clients
  • Loss, damage, or delay of items during delivery
  • Accidents or incidents involving dispatchers
  • Disputes between dispatchers and their clients

To the maximum extent permitted by law, Yaadex shall not be liable for any indirect, incidental, special, consequential, or punitive damages.

10. Indemnification

You agree to defend, indemnify, and hold harmless Perpetual Holdings LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your use of the Service or violation of these Terms.

11. Intellectual Property

The Service and its original content, features, and functionality are owned by Perpetual Holdings LLC and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. The Yaadex name and brand are used under license or ownership of Perpetual Holdings LLC.

12. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason.

13. Dispute Resolution

Any disputes arising out of or relating to these Terms or the Service shall be resolved through good faith negotiation. If a resolution cannot be reached, disputes shall be subject to the exclusive jurisdiction of the courts of Jamaica. Users in other jurisdictions may have additional local rights.

14. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms.

15. Governing Law

These Terms shall be governed and construed in accordance with the laws of Jamaica, without regard to its conflict of law provisions.
